Referral Web site
Affiliate may provide a link from a Referring web site to the Topcat Internatonal web site and earn referral fees. Affiliate may remove said link from a Referring web site and re-link to Topcat Internatonal at any time without prior approval. Affiliate may not display Topcat Internatonal name, image, or link in any way that may defame the Topcat Internatonal name or web site. Affiliate may not link to IMC from a referring web site which promotes spam as described in this agreement, sexually explicit material, violence, illegal activities such as software privacy, or discrimination based on race, sex, religion, national origin, physically disability, sexual orientation or age.

Referral URL
Affiliate must advertise Topcat Internatonal or its affiliate web sites using the Affiliate’s assigned URL rather than, or in addition to, placing Topcat Internatonal’s link on a web site. Affiliate is responsible for ensuring that Affiliate’s assigned URL is used in Affiliate’s advertising, and Affiliate agrees that Topcat Internatonal cannot calculate referral fees otherwise.

Qualifying Services
All services sold by Topcat Internatonal to customers originating from Affiliate’s Referring web site or referral URL—and processed via Topcat Internatonal online order forms, telephone or mailing address—qualify to earn Affiliate referral fees or commissions. Topcat Internatonal reserves the right to reject any order that does not comply with Topcat Internatonal policy.

Referral Fee or Commission Payment
Payments are done weekly via wire transfer or western union, in this way you get you money faster than anyone else. You can set the minimum amount that you wanted to receive, if your accrued commissions do not exceed the minimum amount that you have set, the amount is carried over to the next week.

Returns and Cancellations
If referral fee qualifying Services are returned or cancelled by Affiliate’s customer, the corresponding referral fee(s) will be deducted from Affiliates next week’s referral fee payment.

Service Interruption and Tracking
Topcat Internatonal will make every effort to ensure that its web site is operational, and to track Affiliate’s referred customers. However, certain unavoidable technical difficulties may occasionally cause temporary service and tracking interruptions. Affiliate agrees that Topcat Internatonal is not liable in any way for such interruptions.

Miscellaneous
Affiliate is an independent contractor, and nothing in this Agreement shall create any form of partnership, joint venture, franchise, agency, or employment relationship between the parties. Affiliate will not be treated as an employee with any federal, state or local statue, ordinance, rule or regulation. Affiliate shall not assign this Agreement, by operation of law or otherwise, without the prior express written consent of Topcat Internatonal. Subject to the foregoing, this agreement is binding upon, insures to the benefit of and is enforceable by the parties and their respective successors and assigns.

Term and Termination
This agreement will remain in effect for as long as Topcat Internatonal makes service available, unless the Agreement is terminated due to breach of its terms. Topcat Internatonal and Affiliate have the right to terminate this agreement at any time by notifying the other party in writing. The final referral fee payment to Affiliate may be withheld for a reasonable time in order to ensure that the correct amount is paid to Affiliate.

Agreement Modification
Topcat Internatonal reserves the right to change any of these terms and conditions, at any time and at its sole discretion, by posting a new Agreement on Topcat Internatonal web site and notifying affiliate via email.
